1. Agreement & Acceptance of Terms

These Terms of Use ("Terms", "Agreement") govern your access to and use of the websites, platforms, software-as-a-service (SaaS) tools, AI site generation engines, and e-commerce workflow applications provided by WriterBabu Online Services Private Limited ("Company", "Opmiz", "we", "us", or "our").

This Agreement applies to all visitors, merchants, developers, and end-users accessing:

• Our primary marketing and information website at www.opmiz.com;
• Our merchant management and AI administration dashboard at app.opmiz.com;
• Default merchant storefront subdomains hosted under *-store.opmiz.com (e.g., xyz-store.opmiz.com); and
• Merchant storefronts connected via custom domain names.

By registering for an account, accessing `app.opmiz.com`, triggering AI site generation tools, or linking a domain, you unequivocally agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our Services.

2. Account Registration & Eligibility

To access merchant features, build storefronts, or utilize AI workflows, you must register for an account on `app.opmiz.com`. You represent and warrant that:

• You are at least 18 years of age and possess the legal authority to enter into binding contracts;
• If registering on behalf of a legal entity, you have full authority to bind that entity to these Terms;
• All registration, tax, and business verification data you provide is accurate, current, and complete;
• You are responsible for maintaining the strict confidentiality of your login credentials and for all activities conducted under your account.

3. Platform Scope, Subdomains & Custom Domains

A. Subdomain Allocation License

Upon account creation, Opmiz grants you a revocable, non-exclusive, non-transferable license to use a default subdomain (e.g., xyz-store.opmiz.com) solely for hosting your online storefront.

Subdomain Rights & Reclaim: Subdomains remain the property of Opmiz. We reserve the absolute right to modify, reclaim, suspend, or terminate any assigned subdomain without prior notice if we determine, in our sole discretion, that the subdomain:

• Infringes third-party trademarks, business names, or intellectual property;
• Contains offensive, defamatory, unlawful, or deceptive terminology;
• Impersonates another brand or government entity; or
• Remains inactive under an unpaid or lapsed account.

B. Custom Domain Connection

Merchants may link their own custom web domains to their Opmiz storefronts. If you connect a custom domain, you acknowledge and agree that:

• You are solely responsible for acquiring, renewing, and maintaining ownership of the custom domain;
• You are responsible for correctly configuring Domain Name System (DNS) records to point to Opmiz servers;
• Opmiz is not liable for store downtime, SSL certificate issuance delays, or lost revenue resulting from improper DNS configuration or domain expiration.

4. Artificial Intelligence (AI) Services, & Third-Party Content & Content Liability

A. Ownership of Inputs and Outputs

Merchant Inputs: You retain ownership of all text, images, videos, logos, product information, documents, and other content uploaded to Opmiz.

Generated Outputs: Subject to payment of applicable fees, Opmiz assigns to you all rights it may have in the AI-generated text, layouts, website copy, and other generated content produced specifically for your store.

Platform Technology: Opmiz retains exclusive ownership of its software, source code, AI orchestration systems, prompt engineering, templates, reusable design components, APIs, databases, infrastructure, workflows, and all intellectual property underlying the Services. Nothing in these Terms transfers ownership of the Opmiz platform itself.

B. Third-Party Images & Media

Opmiz may provide access to photographs, illustrations, icons, or other media obtained from third-party content providers (such as Unsplash) to help merchants build and customize their websites.

Such content is not owned by Opmiz and remains subject to the applicable license terms of the respective content provider. While Opmiz makes reasonable efforts to source media from providers that permit commercial use, we do not represent or warrant that any particular image is suitable for your intended purpose or complies with all applicable laws, regulations, trademark rights, publicity rights, or other third-party rights.

You are responsible for reviewing and determining whether any third-party media used on your website is appropriate for your business and intended use. Opmiz is not liable for claims arising from your use of third-party content.

C. AI Accuracy & Hallucination Disclaimer

Artificial intelligence models generate content based on probabilistic patterns and may produce incomplete, inaccurate, misleading, or unexpected outputs ("hallucinations").

Merchant Duty to Review: You acknowledge that Opmiz provides AI generation as an automated drafting tool. You maintain absolute administrative control over your storefront and are solely responsible for reviewing, verifying, and approving all AI-generated content (including product technical specifications, pricing, currency, refund terms, and legal notices) prior to publishing your store live to the public. Opmiz disclaims all liability for commercial losses, customer disputes, or legal claims arising from unreviewed AI outputs.

D. Prohibited AI Conduct

You strictly agree not to use Opmiz AI generation tools to create, publish, or disseminate:

• Content that violates third-party copyrights, trademarks, or trade secrets;
• Fraudulent, counterfeit, deceptive, or scam product listings;
• Explicit adult content, hate speech, harassment, or incitement to violence;
• Malicious code, phishing schemes, or unauthorized automated tools.

E. AI System Protection

You agree not to:

• Attempt to reverse engineer, extract, or discover Opmiz system prompts, internal workflows, or proprietary AI methodologies;
• Use automated tools to excessively consume AI resources beyond normal platform usage;
• Attempt prompt injection, jailbreak attacks, or other techniques intended to circumvent platform safeguards;
• Use Opmiz AI Services for benchmarking competing commercial AI systems without prior written permission.

F. Beta & Experimental Features

Opmiz may occasionally make available beta, preview, or experimental features. Such features are provided for evaluation purposes only, may contain bugs or limitations, and may be modified, suspended, or discontinued at any time without prior notice. Opmiz makes no guarantees regarding the availability or performance of beta features.

5. E-Commerce Obligations & Seller of Record Status

Merchant as Seller of Record: Opmiz is a SaaS infrastructure provider, not a retailer, payment aggregator, or auctioneer. You act as the sole "Seller of Record" for all goods and services sold through your storefront (whether hosted on an `.opmiz.com` subdomain or a custom domain).

As the Seller of Record, you are exclusively responsible for:

• Fulfilling customer orders, handling logistics, and managing returns or refunds;
• Displaying mandatory regulatory notices under the Consumer Protection (E-Commerce) Rules, 2020 (India) or equivalent laws in your operating jurisdiction, including support contact details, grievance officer info, country of origin, and clear pricing terms;
• Calculating, collecting, reporting, and remitting all applicable local, national, and international taxes (including GST, VAT, and Sales Tax).

6. Third-Party Payment Gateways (PG Integration)

Opmiz enables merchants to integrate third-party payment gateways (including but not limited to Indian Payment Aggregators such as Razorpay, Payu, and PhonePe, as well as international processors like Stripe and PayPal) to collect funds directly from end consumers.

• Direct PG Contracts: Payment gateway integrations are directly executed between you (the Merchant) and the respective payment processor under their separate terms and conditions.
• No Financial Intermediation: Opmiz does not receive, hold, aggregate, or process consumer transaction funds on behalf of merchants.
• PG Disclaimers: You (the Merchant) are strictly responsible for managing chargebacks, transaction disputes, fraudulent orders, and refunds requested by your store's end consumers. Opmiz has no access to consumer transaction funds and will not act as an arbitrator in merchant-consumer payment disputes.

7. Pricing, Access Passes, Subscriptions & Refund Policy

A. Platform Access & Billing

Opmiz currently provides access through fixed-term Access Passes (such as 1-Month and 1-Year Access Passes). Payments are one-time transactions and do not renew automatically unless you explicitly enroll in an optional auto-renewal program made available by Opmiz.

Opmiz currently provides access to its Services through fixed-term Access Passes, including 1-Month Access Passes and 1-Year Access Passes, as described on our pricing page. Unless expressly stated otherwise, all payments are one-time transactions and do not automatically renew.

If Opmiz introduces optional automatic renewals in the future, such renewals will only occur after you have explicitly opted into the feature. You may disable auto-renewal at any time before the next renewal date through your account settings.

All applicable taxes, including GST where required by law, will be charged at checkout.

B. Plan Changes

Opmiz may modify pricing, features, AI usage limits, storage allocations, or plan benefits from time to time. Changes will not affect the remaining validity of an already purchased Access Pass unless required by law. Renewals and future purchases will be subject to the pricing and plan features in effect at the time of purchase.

C. AI Credit Quotas & Fair Use

AI generation capabilities, content generation requests, image generation, storage, and other computational resources are subject to plan-specific limits published on our pricing page.

Unless expressly stated otherwise:

• AI usage allocations reset at the beginning of each Access Pass period;
• Unused allocations do not roll over to subsequent periods;
• AI allocations have no cash value and cannot be transferred or exchanged.

Opmiz reserves the right to temporarily rate-limit, suspend, or restrict AI usage where excessive automated activity, abusive usage patterns, or activity that threatens platform stability is detected.

D. Cancellation and Refund Policy

Because Opmiz immediately provisions hosting infrastructure, AI generation capabilities, and platform resources upon activation, 1-Month Access Passes are non-refundable once activated.

Holders of a 1-Year Access Pass may request cancellation by contacting support@opmiz.com. If approved, refunds will be calculated only for the unused portion of the Access Pass, with the utilized period valued using the then-current 1-Month Access Pass pricing. Refund processing times may vary depending on the original payment method.

No refunds will be issued for accounts suspended or terminated due to violations of these Terms or unlawful activity.

8. Intermediary Status & Notice Takedown Policy

Opmiz operates as an "Intermediary" under Section 79 of the Information Technology Act, 2000 (India). We do not initiate transactions, select receivers, or modify information contained in merchant storefronts.

If you believe content hosted on an Opmiz store (`*.opmiz.com` or custom domain) infringes your copyright, trademark, or legal rights, you may submit a takedown notice to our Grievance Officer at support@opmiz.com containing:

• Identification of the copyrighted work or trademark infringed;
• URL of the allegedly infringing store or product page;
• Your contact information and a statement under penalty of perjury that you are the rights holder or authorized agent.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Opmiz, WriterBabu Online Services Private Limited, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business interruption, arising out of or related to:

• Your use or inability to use `app.opmiz.com` or our AI site generation features;
• Any inaccuracies or hallucinations in AI-generated store copy;
• Store downtime, DNS misconfigurations, or payment gateway transaction failures;
• Unauthorized access to or alteration of your transmissions or store data.

In no event shall Opmiz’s total cumulative liability exceed the total amount paid by you to Opmiz in the twelve (12) months preceding the claim, or INR ₹5,000, whichever is lower.

10. No Warranty

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPMIZ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, CONTINUOUS AVAILABILITY, OR THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

YOU ACKNOWLEDGE THAT USE OF AI-GENERATED CONTENT IS AT YOUR OWN RISK.

11. Indemnification

You agree to defend, indemnify, and hold harmless WriterBabu Online Services Private Limited, its officers, directors, and employees from and against any third-party claims, damages, obligations, losses, liabilities, costs, or debt (including attorney's fees) arising from:

• Your breach of any provision of these Terms;
• The goods, services, or content sold and displayed on your storefront;
• Inaccuracies or legal violations contained in your published store content;
• Your violation of third-party IP rights, consumer protection regulations, or payment gateway rules.

12. Suspension & Termination

We reserve the right to suspend or terminate your account, deactivate your `app.opmiz.com` access, and unpublish your default subdomain or custom domain connection immediately, without prior notice, if:

• You breach any material term of this Agreement or our Privacy Policy;
• Your subscription fees remain unpaid past the due date;
• We receive credible notices of unlawful activity or copyright infringement associated with your store.

Upon termination, your right to use the Services ceases immediately, and Opmiz may purge store data, vector embeddings, and backups associated with your account after a 30-day grace period.

13. Data Retention

Following account termination or expiration, Opmiz may retain certain account information for legal compliance, fraud prevention, dispute resolution, and backup purposes. Unless otherwise required by law, store content and associated data may be permanently deleted after the applicable retention period, after which recovery may no longer be possible.

14. Service Availability

While Opmiz strives to maintain high service availability, uninterrupted operation cannot be guaranteed. Scheduled maintenance, emergency maintenance, cloud infrastructure failures, telecommunications failures, distributed denial-of-service attacks, and other circumstances beyond our reasonable control may temporarily affect the availability of the Services.

Opmiz shall not be liable for losses resulting from such interruptions.

15. Force Majeure

Opmiz shall not be liable for any delay or failure to perform its obligations resulting from events beyond its reasonable control, including natural disasters, acts of government, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, cloud infrastructure outages, cyberattacks, epidemics, pandemics, or failures of third-party service providers.

16. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of or relating to these Terms, `opmiz.com`, or our Services shall be subject to the exclusive jurisdiction of the competent courts located in Patna, Bihar, India.

17. Customer Support

Opmiz provides customer support through the communication channels published on our website. Unless expressly stated in a separate written agreement, Opmiz does not guarantee any specific response or resolution times, and no service level agreement (SLA) applies to standard plans.
